These Terms of Service ("Terms") govern your access to and use of the Warehouse Bridge platform and services ("Services") provided by Flag Eagle LLC, a Nevada limited liability company, operating as Warehouse Bridge ("we," "us," or "our").

Warehouse Bridge provides warehouse integration software and services, including:

  • E-commerce platform integrations (Shopify, TikTok Shop, and others)
  • Warehouse management system (WMS) connectivity
  • Order synchronization and fulfillment management
  • Inventory management and tracking
  • Pick-to-light and put-wall systems integration
  • Heat mapping and slotting optimization
  • API access for custom integrations

3. Account Registration

3.1 Account Creation

To use our Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Account Requirements

You must:

  • Be at least 18 years of age
  • Have the authority to bind your business to these Terms
  • Provide accurate and current business information
  • Notify us immediately of any unauthorized access to your account

3.3 Account Security

You are responsible for implementing appropriate security measures for your account, including strong passwords and access controls.

4. Acceptable Use

4.1 Permitted Use

You may use our Services only for lawful business purposes and in accordance with these Terms.

4.2 Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code

5. Third-Party Platform Integrations

Our Services integrate with various e-commerce platforms, marketplaces, and warehouse systems to enable order processing and inventory management. When you connect any third-party platform to our Services:

  • You authorize us to access and process your platform data as necessary for integration functionality
  • You agree to comply with that platform's terms of service and API terms
  • You acknowledge that each platform's terms govern your use of their services
  • We are not responsible for changes to third-party APIs or services that may affect integration functionality

5.1 Supported E-Commerce Platforms

  • TikTok Shop - Order fulfillment and inventory synchronization
  • Shopify - Store, order, and inventory management
  • Amazon/Amazon Seller Central - Order and inventory synchronization
  • Etsy - Shop, order, and inventory management
  • WooCommerce - Order and inventory integration
  • BigCommerce - Store, order, and inventory management
  • Other platforms - As supported and enabled by you

5.2 Third-Party Logistics (3PL) and Warehouse Systems

When you connect 3PL providers or warehouse management systems:

  • You authorize us to exchange order, inventory, and fulfillment data with your designated 3PL or WMS providers
  • You are responsible for your agreements with third-party logistics providers
  • We facilitate data exchange but are not a party to your fulfillment arrangements

5.3 Platform-Specific Terms

Each integrated platform has its own terms of service that you must comply with. You are solely responsible for:

  • Maintaining valid accounts with each connected platform
  • Ensuring your use of connected platforms complies with their terms
  • Managing your credentials and API access for each platform

6. API Terms

6.1 API Access

We may provide API access to enable custom integrations with our Services. API access is subject to:

  • Rate limits and usage restrictions
  • Authentication requirements
  • Our API documentation and guidelines

6.2 API Restrictions

You may not:

  • Exceed API rate limits
  • Share API credentials with unauthorized parties
  • Use APIs in ways that degrade service performance
  • Build competing services using our APIs

7. Fees and Payment

7.1 Pricing

Fees for our Services are as specified in your service agreement or on our website. We reserve the right to change pricing with reasonable notice.

7.2 Payment Terms

  • Fees are due as specified in your service agreement
  • Late payments may result in service suspension
  • You are responsible for all applicable taxes

8. Intellectual Property

If you provide feedback or suggestions about our Services, we may use such feedback without obligation to you.

9. Confidentiality

Both parties agree to protect confidential information received from the other party and to use such information only as necessary for the purposes of these Terms.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully received from third parties.

10. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring your use of our Services complies with applicable data protection requirements.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.

12.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12.3 Third-Party Services

We are not liable for the actions, errors, or omissions of third-party platforms or services, including TikTok Shop, Shopify, Amazon, Etsy, WooCommerce, BigCommerce, 3PL providers, or other integrated services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Flag Eagle LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws

14. Term and Termination

14.1 Term

These Terms are effective until terminated by either party.

14.2 Termination by You

You may terminate your account at any time by contacting us at steven@dataface.uk.

14.3 Termination by Us

We may suspend or terminate your access to the Services at any time for:

  • Violation of these Terms
  • Non-payment of fees
  • Extended inactivity
  • Legal requirements
  • Any other reason with reasonable notice

14.4 Effect of Termination

Upon termination:

  • Your access to the Services will cease
  • You remain liable for any outstanding fees
  • Provisions that should survive termination will remain in effect

15. Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting updated Terms on our website or notifying you by email. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict of law principles.

16.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Nevada. You waive any right to participate in class action lawsuits or class-wide arbitration.

Either party may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights or confidentiality obligations.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
